1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of Logable ("Service", "Platform", "we", "us", or "our"), an industrial IoT monitoring and automation platform operated by FEB Consulting CC, a close corporation registered in the Republic of South Africa.

By accessing or using Logable, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Service.

2. Service Description

Logable provides a comprehensive platform for monitoring, automating, and optimizing industrial batching and IoT devices. Our services include:

• Real-time device monitoring and data collection
• Automated control and response systems
• Data analytics and reporting dashboards
• Alert and notification systems
• Device management and configuration tools
• Integration with third-party industrial systems

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under South African law to create an account. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner consistent with applicable laws and regulations of the Republic of South Africa and any other relevant jurisdiction.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Upload or transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to monitor or control devices you do not own or have permission to access
• Share your account credentials with unauthorized third parties

5. Data Protection and Privacy

5.1 POPIA Compliance

We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and other applicable data protection laws. Our collection, use, and protection of your personal information is detailed in our Privacy Policy.

5.2 Your Data

You retain ownership of all data you upload, transmit, or otherwise make available through the Service ("User Data"). You grant us a limited license to use, store, and process User Data solely to provide and improve our Service.

5.3 Data Security

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction, in accordance with industry standards and POPIA requirements.

6. Payment Terms and Billing

6.1 Subscription Fees

Access to certain features of the Service may require payment of subscription fees. All fees are quoted in South African Rand (ZAR) unless otherwise specified and are inclusive of applicable VAT.

6.2 Payment Processing

Payments are processed through secure, PCI-compliant payment processors. You authorize us to charge your designated payment method for all applicable fees and charges.

6.3 Refunds and Cancellation

Subscription fees are non-refundable except as required by South African consumer protection laws. You may cancel your subscription at any time, with cancellation taking effect at the end of your current billing period.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by FEB Consulting CC and are protected by South African and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

8. Service Availability and Support

8.1 Uptime and Availability

While we strive to maintain high service availability, we do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance and updates that may temporarily affect service availability.

8.2 Technical Support

We provide technical support to paying subscribers during South African business hours (08:00 - 17:00 SAST, Monday to Friday, excluding public holidays). Support is provided in English and Afrikaans.

9. Limitation of Liability and Disclaimers

9.1 Service Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of Liability

To the maximum extent permitted by South African law, our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9.3 Industrial Use Disclaimer

You acknowledge that industrial automation systems can be complex and potentially hazardous. You are solely responsible for ensuring that your use of our Service complies with all applicable safety standards, regulations, and best practices for industrial operations.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account termination features in your account settings. Upon termination, your right to access and use the Service will cease immediately.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct that we determine to be harmful to our Service, other users, or third parties.

10.3 Effect of Termination

Upon termination, we will make reasonable efforts to provide you with access to your User Data for a period of thirty (30) days, after which such data may be permanently deleted from our systems.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the Arbitration Act 42 of 1965, conducted in Cape Town, South Africa. The arbitration shall be conducted in English.

11.3 Consumer Rights

Nothing in these Terms limits your rights as a consumer under the Consumer Protection Act 68 of 2008 or other applicable South African consumer protection laws.

12. General Provisions

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect.

12.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Service and supersede all prior agreements and understandings.
